1. Agreement to These Terms
These Terms of Service ("Terms") are an agreement between you and Neve Academy LLC, a North Carolina limited liability company doing business as Neve Spanish Academy ("Neve Spanish Academy," "we," "us," or "our"). They govern use of nevespanishacademy.com, our Wix-hosted website, Wix site-member area and Online Programs, Explorer Headquarters, adult accounts, free resources, digital curriculum, printables, audio, parent guidance, and related products or services (collectively, the "Services").
By creating an account, accepting the checkout policy checkbox, purchasing, or accessing a product, you agree to these Terms. Public website use is also subject to the provisions of these Terms that apply to visitors.
Please review our Privacy Policy, which explains our data practices. The product description, price, access duration, release schedule, refund offer, and any other product-specific conditions shown at the time of purchase are part of your purchase agreement. If an express product-specific condition conflicts with these general Terms, the product-specific condition controls for that purchase. If you do not agree, do not create an account, purchase, or use the Services.
2. Adult Users and Eligibility
Our website, checkout, customer accounts, mailing lists, surveys, and contact forms are intended for adults. You must be at least 18 years old, or the age of legal majority where you live if higher, to create a customer account, make a purchase, or agree to these Terms.
Children may experience the educational materials only under the direction and supervision of a parent, legal guardian, educator, or other responsible adult. The online hub is for adults. We do not offer child accounts, child profiles, or a system for tracking an individual child's learning. Children must not create accounts, purchase, join mailing lists, or submit information directly through the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization and that the appropriate organization, classroom, or professional license has been purchased when required.
3. Accounts and Account Security
Paid Online Programs and some resources require an adult Wix site-member account. You agree to provide accurate account information, keep it updated, protect your login credentials, and accept responsibility for account activity to the extent permitted by law. The registered adult may use licensed materials with children in the same household under Section 8, but must not share account credentials with another person. Wix may display enrollment or step activity for the adult account; any such indicator is for access and navigation, not an assessment of a child's progress.
Notify us promptly at NeveSpanishAcademy@gmail.com if you believe your account has been accessed without authorization. We may require reasonable verification before changing account information or restoring access.
4. Products, Access, and Delivery
Digital delivery
Unless an offer expressly states otherwise, products are delivered digitally through the Wix website and member area, Wix Online Programs, Explorer Headquarters, embedded viewers, online audio, email, and files that we make available for download. Some components are meant to be viewed or streamed rather than downloaded. No physical materials are shipped. You need a compatible device, internet access, appropriate software, and any printer, paper, or ordinary household supplies called for by an activity. The product page identifies what is included in each purchase.
The product page and checkout state the applicable access duration and any enrollment or program completion window. A one-time payment means one charge for the stated product; it does not, by itself, promise permanent or "lifetime" online access. We promise lifetime access only if the offer uses that exact commitment. Technology, security, legal, or business changes may require a replacement file, delivery method, platform, or account migration. If we change delivery during an advertised paid access period, we will make reasonable efforts to preserve substantially equivalent access or provide an appropriate remedy.
Progressive or scheduled release
Discovering My World in Spanish™ may be offered one unit at a time. Buying one unit gives access only to that unit and the resources expressly included with it; it does not include later units or a future complete curriculum. A separately described bundle, if offered, includes only the units listed in that bundle. Within a purchased unit, lessons may become available progressively, including at roughly seven-day intervals measured from the adult participant's enrollment or access start date when the offer says so. The product page and checkout will state the actual schedule and whether any initial lessons are available immediately. A future lesson is not available merely because the unit has already been paid for. Release timing is not based on tracking a child's work or level.
We may make minor schedule adjustments or experience short technical delays. If we cannot deliver a material portion of paid content within 30 days after its published release date, contact us for a reasonable remedy. Depending on the circumstances, the remedy may include replacement access, account credit, a proportional refund for the undelivered portion, or a full refund when the principal value of the product cannot be delivered.
Optional Christian companion. Where an eligible paid unit expressly includes Exploring God in Spanish™, the companion lesson is available inside the paid member area at no additional charge when released. It is optional, separate from the core Spanish curriculum, and is not a public standalone free resource. Access to one paid unit does not include companion content for units that were not purchased. Participation in Christian content is not required to use the core unit or receive its standard resources.
5. Orders, Prices, Payments, and Taxes
The price, included units or resources, any access period, and applicable taxes are shown in the offer and at Wix checkout. By placing an order, you authorize the connected payment provider shown at checkout, which may be Wix Payments, Stripe, PayPal, or another supported provider, to charge the displayed total and any recurring charges only if a separate offer clearly says they apply. Payment-card details are handled by Wix and/or the connected payment provider; Neve Spanish Academy does not intentionally store complete card numbers in its own records. Access normally begins after payment is confirmed, subject to the stated program enrollment and lesson-release schedule.
We may correct pricing, description, or availability errors. If a material error affects an unfulfilled order, we may cancel it and refund the amount paid. Discounts and promotions apply only as stated and are not retroactive unless expressly offered. We collect and remit taxes when required by applicable law. Depending on your location and the taxes collected at checkout, you may also have separate tax obligations under applicable law.
6. Subscriptions, Memberships, and Payment Plans
Our curriculum units are ordinarily one-time purchases. A separate bundle, if offered, may also be sold for one payment. Paying once to join a Wix Online Program does not create a subscription. The following rules apply only if we later offer and clearly identify a recurring membership, subscription, or installment payment plan at checkout.
Subscriptions and memberships
If we offer a subscription or membership, the product page and checkout will disclose the billing amount, frequency, renewal terms, included access, trial terms if any, cancellation method and deadline, and what happens to access after cancellation. By enrolling, you authorize recurring charges until cancellation. Cancellation stops future renewals but generally does not refund the current billing period unless required by law or expressly offered.
Payment plans are not subscriptions
A payment plan divides the purchase price into installments. Unless the offer expressly says otherwise, it is a commitment to pay the full purchase price, not a month-to-month subscription that may be canceled by stopping future installments. Failure to complete payments may result in suspended access, collection of amounts lawfully due, or both.
7. Cancellations, Refunds, and Billing Issues
This section is Neve Spanish Academy's default Refund & Cancellation Policy and is part of these Terms. Any refund, satisfaction guarantee, or cancellation policy stated on the product page or at checkout controls for that purchase. If no product-specific policy is stated, the following default rules apply to the extent permitted by law:
Digital products after access. A digital purchase is generally final once you actually open, view, play, or download paid lesson content or another paid resource. Creating an account, signing in, or viewing a general welcome or account page alone does not count as accessing paid curriculum. This rule is subject to the exceptions below and nonwaivable rights.
Accidental purchase before access. If you purchased by mistake, contact NeveSpanishAcademy@gmail.com within 7 days of purchase. If no paid content has been opened, viewed, played, or downloaded, we will cancel and refund the order when technically and commercially feasible.
Technical access problems. Contact us within 7 days after the problem first occurs and give us a reasonable opportunity to restore access, replace a defective file, or provide an alternative delivery method. If we cannot provide the purchased content, we will offer an appropriate refund, credit, or other reasonable remedy.
Material delivery or description problem. If paid content is materially unavailable or materially different from what was described because of our error and we cannot reasonably correct the problem, we will provide an appropriate remedy, which may include replacement access, credit, or refund.
Duplicate or incorrect charges. Contact us promptly so we can investigate and correct a verified duplicate or erroneous charge.
Progressive release. A customer is not entitled to a refund merely because future lessons are not yet unlocked when the release schedule was disclosed. The non-delivery remedy in Section 4 applies if we fail to deliver a material portion of promised paid content within the stated grace period.
Access records. Where available and reasonably reliable, we may review adult account activity, program access, downloads, or audio events to assess whether paid content was accessed. These records do not measure a child's progress, and we may ask you for information needed to investigate a request.
Nothing in this section limits nonwaivable consumer rights or remedies. If a law where you live gives you a cancellation, withdrawal, warranty, or refund right that cannot be waived, that law controls to the extent it applies. If you believe a charge is unauthorized, contact us and your payment provider promptly. Please give us a reasonable opportunity to address ordinary billing or access concerns before initiating a payment dispute.
8. Limited License and Permitted Use
Our original paid and free materials are licensed, not sold. Subject to these Terms and any product-specific license, Neve Academy LLC grants the purchaser a limited, nonexclusive, nontransferable license for personal, noncommercial educational use in the purchaser's household during the applicable access period. We may suspend or revoke the license for a material breach, subject to applicable law. Public links to free resources may be shared; the resource files themselves may not be republished or redistributed unless we expressly permit it.
A standard household license permits you to:

Use the materials with children who are members of your immediate household under adult guidance.

Download files that we expressly make downloadable to your own devices and keep a reasonable personal backup of those files.

Print reasonable copies of printable files for use within your own household and replace copies worn or damaged through normal use.

Stream or play included audio and use view-only or interactive components privately with your household through the access method provided. This license does not grant a right to extract or download streamed media or a view-only component.

Educators, tutors, therapists, churches, schools, co-ops, childcare providers, businesses, and other organizations may use materials only when a product expressly includes that scope or when they purchase a separate classroom, professional, or organizational license. A professional license, if offered, does not convert the materials into clinical, therapeutic, diagnostic, or individualized treatment tools.
9. Intellectual Property and Brand Rights
The Services and their original content, organization, lesson design, curriculum expression, text, illustrations, graphics, audio, downloads, templates, interactive materials, and other creative elements are owned by Neve Academy LLC or its licensors and are protected by copyright, trademark, contract, and other applicable laws. Copyright protects the original expression of our materials; these Terms do not claim ownership of general ideas, facts, language-learning principles, educational methods, or other matter that the law does not protect.
Neve Spanish Academy is a trade name of Neve Academy LLC. Discovering My World in Spanish™, Neve Method™, and N.E.V.E. Conversation Strategy™ are brand identifiers used by Neve Academy LLC. Nothing in these Terms grants permission to use our names, marks, logos, trade dress, original curriculum assets, or confusingly similar branding to promote another product or service.
10. Prohibited Uses
Share, forward, email, post, upload, publish, sell, sublicense, rent, lend, gift, or redistribute account access or any paid or free material to another household or person.
Upload materials to a shared drive, school portal, membership library, social-media group, file-sharing service, public website, or other repository accessible outside the licensed household or organization.
Copy, scan, record, extract, translate, adapt, alter, or create derivative products from the materials for distribution, publication, sale, or use in a competing product or service.
Remove copyright, trademark, attribution, watermark, or other proprietary notices.
Use Neve Spanish Academy materials, audio, images, protected lesson content, or datasets to train an artificial-intelligence system, build a dataset, generate a competing resource, or supply content to a generative system for redistribution or commercial development.
Scrape, crawl, reverse engineer, bypass access controls, test vulnerabilities without authorization, introduce malicious code, interfere with the Services, or use automated means to obtain content or account information.
Use the Services unlawfully, fraudulently, deceptively, abusively, or in a way that infringes another person's privacy, publicity, intellectual-property, or other rights.
11. Feedback, Testimonials, and Other Submissions
If you send support messages, survey responses, feedback, ideas, or other submissions, you represent that you have the right to provide them and that they do not violate another person's rights. You remain responsible for your submissions.
We may use general feedback to improve the Services without owing compensation. We will not publicly use your name, image, testimonial, a child's identifiable information, or identifiable family content for marketing unless you provide separate permission or a release. Do not submit a child's photograph, voice recording, video, or identifiable work sample unless we specifically request it through a parent-authorized process.
12. Adult Supervision and Activity Safety
You are responsible for deciding whether an activity, material, household item, movement, sensory experience, food item, printable, tool, outdoor activity, or digital component is appropriate for a particular child. Consider the child's age, development, abilities, allergies, medical needs, environment, and any professional advice that applies to your family.
An attentive adult must prepare and supervise activities as appropriate, especially those involving scissors, cutting, small parts, strings, containers, adhesives, food, water, sensory materials, movement, outdoor exploration, furniture, or electronic devices. Inspect materials before use, modify or omit activities that are unsafe, follow manufacturer instructions, and keep choking hazards and other dangerous items away from young children. Stop an activity if a child becomes distressed or conditions become unsafe.
13. Educational and Non-Clinical Disclaimer
Neve Spanish Academy provides general educational information and parent-guided language-learning materials. The Services are not medical care, speech-language therapy, audiology services, psychological services, diagnosis, individualized treatment, or a substitute for advice from a licensed health, developmental, educational, or other qualified professional.
Neve Spanish Academy does not promise that a child will become bilingual, achieve fluency, master particular vocabulary or pronunciation, meet a developmental milestone, or experience a specific educational outcome. Results vary based on age, exposure, participation, consistency, individual development, and many factors outside our control. If you have concerns about a child's speech, language, hearing, development, learning, health, or safety, consult an appropriately licensed professional.
14. Third-Party Platforms, Links, and Resources
We use or link to third-party services, including Wix for site hosting, site-member accounts, Online Programs, and checkout; the payment provider shown at checkout; and any email, form, analytics, advertising, or externally linked resource providers we enable. Their own terms and privacy notices may govern their services. We remain responsible for our own commitments to customers and for obligations that applicable law places on our use of service providers.
Wix provides technical features used to operate the Neve Spanish Academy site and paid member area. Wix's agreement with Neve Academy LLC governs our use of its platform. Your purchase of Neve Spanish Academy materials is from Neve Academy LLC and is governed by these Terms and the applicable offer. A connected payment provider may separately govern the processing of your payment.
15. Availability, Updates, and Corrections
We aim to keep the Services accurate and available, but we do not guarantee uninterrupted access, error-free files, permanent availability of a specific platform feature, or that every link will remain active. We may correct errors, update materials, replace files, adjust features, perform maintenance, migrate technology, or discontinue free resources at any time.
We may make reasonable changes to paid materials or delivery for accuracy, safety, law, curriculum maintenance, or platform compatibility. If a material change substantially reduces what was promised during a paid access period and we cannot provide a reasonable substitute, contact us for an appropriate remedy. Nothing here reduces rights that cannot lawfully be waived. We are not responsible for problems caused solely by your equipment, internet connection, printer, software, or account security, subject to applicable law.
16. Suspension and Termination
We may suspend or terminate access if payment fails; a charge is reversed without resolution; account credentials are improperly shared; materials are copied or redistributed; these Terms are materially violated; use creates a security or legal risk; or suspension is reasonably necessary to protect the Services, Neve Academy LLC, users, or third parties. When practical, we may provide notice and an opportunity to cure a minor violation.
You may stop using the Services at any time. Termination does not eliminate payment obligations already incurred. Sections concerning ownership, license restrictions, disclaimers, liability, disputes, and other provisions that logically should survive will remain effective after termination.
17. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available." Neve Academy LLC disclaims warranties that are not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Services will meet every family's needs, be continuously available, be compatible with every device or printer, or produce a particular result.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
18. Limitation of Liability
To the fullest extent permitted by law, Neve Academy LLC and its members, managers, employees, contractors, representatives, licensors, and service providers are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, data, goodwill, or opportunity, arising from use of the Services. This exclusion does not apply to liability for fraud, willful misconduct, personal injury caused by negligence, or another matter that applicable law does not allow us to exclude.
Liability cap
To the fullest extent permitted by law, our total aggregate liability for a claim relating to a specific product or service is limited to the greater of (a) the amount paid to Neve Academy LLC for that product or service during the 12 months before the event giving rise to the claim or (b) US $100. This cap does not apply to fraud, willful misconduct, personal injury caused by negligence, or any right or remedy that cannot lawfully be limited.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Neve Academy LLC and its members, managers, employees, contractors, and representatives from third-party claims, liabilities, damages, judgments, and reasonable costs arising from your unlawful use or misuse of the Services, your material violation of these Terms, your infringement of another person's rights, or content you submit. This obligation does not apply to the extent a claim results from our own unlawful conduct or where applicable law does not permit consumer indemnification.
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina and applicable United States federal law, without regard to conflict-of-law principles, except that mandatory consumer protections in your place of residence continue to apply when they cannot lawfully be waived.
Before filing a lawsuit, you and Neve Academy LLC agree to make a good-faith effort for at least 30 days to resolve the dispute informally. Email a written description of the issue and requested resolution to NeveSpanishAcademy@gmail.com with the subject "Terms Dispute." This requirement does not prevent either party from seeking urgent injunctive relief, reporting a matter to a regulator, or filing an eligible claim in small-claims court.
If informal resolution is unsuccessful, claims may be brought in a state or federal court with lawful jurisdiction in North Carolina, subject to nonwaivable consumer venue rights. Each party retains any right to a jury trial that applicable law provides. These Terms do not require arbitration or waive participation in a class action.
21. International and Statutory Consumer Rights
The Services are operated from the United States. We may limit purchases or features by location. If you access or purchase the Services from another jurisdiction, you are responsible for determining whether access is lawful there. Mandatory consumer-protection, cancellation, warranty, privacy, and venue rights that cannot lawfully be waived remain applicable.
Where applicable law gives a buyer a withdrawal or cancellation right for digital content, that right continues unless the legal requirements for an exception are met. If the law requires an express request for immediate digital delivery and an acknowledgment of the consequences for a withdrawal right, we will seek those actions separately at checkout before relying on that exception. A general acceptance of these Terms alone is not treated as that separate acknowledgment.
22. Changes to These Terms
We may update these Terms to reflect changes in our Services, prices, policies, technology, or legal obligations. The updated Terms will be posted on the website with a revised effective date. Material changes will apply prospectively, and we may provide additional notice when appropriate. Changes will not retroactively alter a completed purchase unless required by law or accepted by you.
23. General Provisions
Entire agreement. These Terms, the Privacy Policy, and incorporated product-specific terms are the entire agreement regarding the Services, except that a separate signed agreement controls live instruction, private services, professional licensing, or another specifically covered engagement.
Severability. If a provision is held invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect.
No waiver. A failure to enforce a provision once is not a waiver of the right to enforce it later.
Assignment. You may not assign or transfer your account, license, or rights under these Terms without our written consent. We may assign these Terms as part of a business transfer or reorganization, subject to applicable law.
No agency. These Terms do not create an employment, partnership, joint-venture, fiduciary, franchise, or agency relationship.
Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, widespread outages, war, civil unrest, government action, labor disruption, public-health emergencies, or failure of essential third-party infrastructure.
Electronic communications. You consent to receive agreements, receipts, notices, and service communications electronically. Electronic records satisfy legal writing requirements to the extent permitted by law.
